Working Environment and Location
This position is based in Mexico City (Santa Fe area) and will require on-site work in a hybrid set up.

Purpose and Scope
The Specialist Legal Corporate Governance—Group Companies Support (“Specialist”) reports to the Lead Legal Corporate Governance—Group Companies (“Governance Lead”) and is an important contributor to support and implement sound corporate governance policies, practices, and education for Astellas Pharma Inc.’s Group Companies (“Group Companies”). The Specialist helps to ensure legal compliance and minimize risk in the governance related structures, strategies, rules, decision making, processes, operations and disclosures of the Group Companies (“Governance Matters”). This position directly supports the Board of Directors of the Group Companies within its remit as well as the individual Directors of those Boards.
Role and Responsibilities
- Supporting a full range of legal support, advice, and counselling in regard to corporate governance matters for the Group Companies within the remit assigned to the position by the Head of Litigation, Investigations, Employment & Governance (“Head of LIEG”) and the Governance Lead (“Remit”) with respect to topics that impact the governance of such Group Companies to ensure statutory and regulatory compliance for these Group Companies. In this regard, the Specialist will also align, coordinate and work closely with other members of Legal as may be needed or appropriate.
- Supporting the Group Companies’ Boards of Directors within the Remit in consultation with the Governance Lead and the Head of LIEG. Providing advisory support for the management of Board meetings within the Remit. Providing legal supports for external independent Directors of the Boards within the Remit.
- Supporting Governance Matters related to the establishment, closure and changes to the entity structure of Group Companies within the Remit.
- Supporting the strategic and tactical planning, process improvement and documentation of the Group Companies’ corporate secretariat function.
- Supporting the review of internal and external reports, presentations and materials, press releases, policies, industry presentation and position statement materials relating to Governance Matters within the Remit to ensure that all such presentations and materials meet all applicable legal and regulatory requirements, in consultation with the Governance Lead and the Head of LIEG.

- Providing legal support and advice for business leaders, including Human Resources, Finance, Internal Audit, Corporate Strategy, Tax, and Procurement related to issues involving Governance Matters within the Remit and other issues as requested by the Governance Lead and the Head of LIEG.
- Supporting a legal culture of excellence in his/her team, which includes driving and fostering: (1) an agile, adaptive culture; (2) a value-based organization based on Legal’s Mission and objectives; (3) a culture of innovation, transparency and trust; (4) proactive identification/mitigation of risk in a balanced approach; (5) empowerment and engagement of the team members; (6) a collaborative culture with close coordination with other members of Legal as appropriate to leverage synergies and efficiencies; (7) a culture of compliance and good corporate governance; and (8) a continuous expectation of high performance, where “ok” is not good enough.
- Retaining, supervising and directing outside counsel effectively and efficiently managing legal expenses consistent with the direction of the Governance Lead and the Head of LIEG.
- Leading other projects as may be requested by the Governance Lead, Head of LIEG, the Head of Legal, or the General Counsel
Essential Qualifications
- At least 2 years’ experience working in the corporate governance field.
- Solid understanding of the legal issues around corporate laws, security laws and corporate governance affecting companies around the world. Solid understanding of the global regulatory environment that affects decision-making across Astellas’ global business. Good knowledge and understanding of the pharmaceutical industry, including IP, manufacturing, R&D, regulatory and commercial elements.
- Solid ability to grasp legal issues quickly, strong analytical problem solving and decision-making skills, exercise sound judgment and provide practical and constructive legal advice in a time-sensitive dynamic and fast-paced complex global environment.
- Solid negotiation and communication skills (both oral and written). Ability to communicate legal issues in a clear and understandable manner. Inspires trust and confidence through effective communication and interpersonal skills.
- Strong work ethic and ability to manage large workload, multi-task, focus on critical priorities, and otherwise effectively meet client needs. Ability to produce high quality work under deadline pressures.
